1. About these Terms

These Terms of Use govern your access to and use of the website at https://www.ukpaymentsinitiative.co.uk (the Site). The Site is operated by UK Payments Initiative Limited, a company registered in England and Wales with company number 16915455, whose registered office is at c/o Towerhouse LLP, 16 St John’s Lane, London EC1M 4BS (UKPIweus or our).

By accessing the Site you agree to be bound by these Terms. If you do not accept these Terms, you should not use the Site.

2. What these Terms cover

These Terms govern your use of the Site. They do not govern your participation in any UKPI scheme, working group, consultation or other UKPI activity. Participation in any UKPI scheme is governed by the relevant scheme documents (including the UKPI Scheme Rules and the agreements between UKPI and its members), which sit outside these Terms. Nothing on the Site constitutes an offer to enter into any contract or to admit any person to a UKPI scheme.

3. Changes to these Terms

We may update these Terms from time to time. The version published on the Site at the date of your visit is the version that applies to your use of the Site on that visit. Material changes will be flagged on the Site for a reasonable period after they take effect. Your continued use of the Site after a change has been published constitutes acceptance of the updated Terms.

4. The Site and what it is for

The Site is provided to inform the market about UKPI, the commercial Variable Recurring Payments (cVRP) framework that UKPI is developing, and the work of UKPI’s board, management team and working groups. Content on the Site is general information only. It is not legal, regulatory, financial, technical or other professional advice, and you should not act or refrain from acting on the basis of any content on the Site without taking appropriate professional advice.

The Site may be updated, modified, suspended or withdrawn at any time without notice. We do not guarantee that the Site, or any content on the Site, will be available at all times or free from error.

5. Permitted use of the Site

You may view, download and print content from the Site for your own non-commercial personal use, or, if you are accessing the Site on behalf of an organisation, for your internal business use, in each case subject to the restrictions in section 6 and the intellectual property terms in section 7. You may share links to publicly accessible pages on the Site by way of fair quotation and attribution.

6. Restrictions on use

You must not use the Site in any way that breaches any applicable law or regulation, or in any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect. You must not use the Site to send, knowingly receive, upload, download, use or re-use any material that is defamatory, obscene, offensive, hateful or inflammatory, or to transmit or procure the sending of any unsolicited or unauthorised advertising or promotional material.

You must not knowingly transmit any data, send or upload any material that contains viruses, trojans, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored, or any server, computer or database connected to the Site.

You must not reproduce, duplicate, copy, sell, resell or commercially exploit any part of the Site, except as expressly permitted by these Terms or with our prior written consent.

7. Intellectual property

All content on the Site, including the UKPI name and logo, the text, graphics, layout, design, photographs, video and downloadable documents (other than third-party materials clearly identified as such), is owned by, or licensed to, UKPI. UKPI is the owner or the licensee of all intellectual property rights in the Site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access the Site and to use the content in accordance with section 5 of these Terms. You acquire no other rights, title or interest in the Site or its content.

The UKPI name and logo are trade marks of UKPI. They may not be used in connection with any product or service that is not provided by UKPI, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits UKPI. All other trade marks not owned by UKPI that appear on the Site are the property of their respective owners.

8. Third-party content and links

The Site may contain links to other websites and resources provided by third parties. These links are provided for your information only. We have no control over the content of those websites or resources, do not endorse them and accept no responsibility for them or for any loss or damage that may arise from your use of them. Your dealings with any third party reached through the Site are solely between you and that third party.

9. Disclaimers and non-reliance

The content on the Site is provided for general information only. It is not intended to amount to advice on which you should rely. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to the Site or any content on it, whether express or implied.

While we make reasonable efforts to update the information on the Site, we make no representations, warranties or guarantees, whether express or implied, that the content on the Site is accurate, complete or up to date. UKPI is developing the cVRP framework on a phased basis. Specifications, scheme rules, market participation arrangements, regulatory positions and policy statements referenced on the Site may change without notice.

10. Limitation of liability

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.

Subject to that, we will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss of profit, loss of business, business interruption, loss of business opportunity, loss of anticipated savings, loss of goodwill, loss of data, or for any indirect or consequential loss, in each case arising under or in connection with your use of the Site.

You agree that you will not use the Site for any commercial or business purposes and we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.

To the extent we have any liability under or in connection with these Terms that is not excluded by this section 10, our total aggregate liability arising under or in connection with the Site and these Terms is limited to £100.

11. Suspension and withdrawal of access

We may suspend or withdraw your access to all or part of the Site at any time without notice and without liability to you. We may impose restrictions on access to certain features, parts or content of the Site, or restrict access to the Site to users who have completed a registration process.

12. Privacy and cookies

Personal data submitted to or collected through the Site is processed in accordance with the UKPI privacy notice, and the cookies and similar technologies used on the Site are described in that notice. By using the Site you acknowledge that you have read the privacy notice.

13. Viruses and security

We do not guarantee that the Site will be secure or free from bugs or viruses. You are responsible for configuring your own information technology, computer programmes and platform to access the Site. You should use your own virus protection software.

You must not introduce any virus or other harmful material to the Site, attempt to gain unauthorised access to the Site or to the server on which the Site is stored, or attack the Site via a denial-of-service attack or a distributed denial-of-service attack. Doing so may be a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and will co-operate with those authorities by disclosing your identity to them.

14. Entire agreement and severability

These Terms and the documents to which they refer constitute the entire agreement between you and us in relation to your use of the Site. If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect. A failure or delay by us in exercising any right under these Terms will not operate as a waiver of that right.

15. Third-party rights

A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

16. Governing law and jurisdiction

These Terms and any dispute or claim (including any non-contractual dispute or claim) arising out of or in connection with them or their subject matter or formation are governed by, and construed in accordance with, the laws of England and Wales. You and we agree that the courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
